<P><FONT size=3>据了解，现在公司招董秘，更需要那些熟悉上市运作流程、上市审核机构办事流程，懂资本运作及市场化程度高的人才。帮公司做上市相对于上市后的日常工作，似乎前者更有挑战性和价值性。</FONT></P>

<P><FONT size=3>目前市场上不乏懂资本运作的董秘，有投行、PE、会计师、律师等背景的比比皆是。“一般这种背景董秘的薪酬待遇都不错。”某业内人士表示。</FONT></P>

<P><FONT size=3>单看2009年以来上市的688家公司的董秘，有48人出身证券公司及PE、25人出身会计师事务所、11人出身律所。其中来自投行的有15人，他们都是在上市前两年进入公司，去年平均年薪高达54万，远高出平均水平。</FONT></P>
